Terms of Service

Effective August 15, 2026

These terms govern Sidonia's public website, platform services, and operational messaging program. They are written to be read alongside any signed customer agreement and our Privacy Policy.

Agreement to these terms

These Terms of Service govern access to Sidonia AI, Inc.'s public website and services. Use of the authenticated Sidonia platform may also be governed by a customer agreement between Sidonia and the applicable organization. If a signed customer agreement conflicts with these public terms, the signed customer agreement controls.

The Sidonia services

Sidonia provides maritime operations coordination software for authorized organizations and their users. Features may include communications processing, dispatch planning, vessel and fleet information, operational alerts, scheduling, and related records. Sidonia is a decision-support and coordination service; authorized operators remain responsible for operational decisions and compliance with applicable safety procedures, laws, contracts, and workplace rules.

Accounts and authorized use

Authenticated services are available only to invited users authorized by a Sidonia customer. Users must provide accurate information, protect their credentials, use the service only for legitimate organizational purposes, and promptly report suspected unauthorized access. An organization is responsible for managing its users and the operational data it chooses to enter or connect to Sidonia.

Acceptable use

Users may not use Sidonia to violate law, infringe another person's rights, send unlawful or non-consensual communications, interfere with the service, introduce malicious code, attempt unauthorized access, or misrepresent operational information. Automated access is permitted only through interfaces and credentials authorized by Sidonia or the applicable customer agreement.

Operational data and third-party services

Sidonia may process information supplied by customers and authorized users and may display information from third-party providers. Customers are responsible for having the rights and permissions needed to provide their data. Third-party data, communications networks, positioning feeds, and other external services may be delayed, incomplete, or unavailable and remain subject to their providers' terms.

SMS messaging terms

Sidonia provides an operational SMS program that authorized maritime dispatchers use to contact opted-in crew members and other authorized operational contacts. Messages may include job offers, assignment confirmations, scheduling details, and operational schedule changes. Sidonia SMS is not a marketing program.Recipients are enrolled only after providing express consent through a standalone consent step, separate from employment or account paperwork. Enrollment is off by default; the organization records the consent date, method, and disclosure shown before any message is sent.Consent to Sidonia SMS is voluntary. It is never a condition of employment, engagement, assignments, account access, or any purchase. A crew member who declines SMS receives the same operational information by phone call or email, with no disadvantage of any kind.Message frequency varies based on operational activity. Message and data rates may apply. Reply STOP to opt out or HELP for assistance. A recipient may be asked to reply YES or NO to a job offer; a YES reply may record acceptance and place the recipient on the dispatcher's schedule, subject to the employing organization's operating rules. After opting in, the recipient receives a one-time enrollment confirmation message. After revoking consent by replying STOP, re-enrollment requires a new recorded consent.Wireless carriers are not liable for delayed or undelivered messages. Privacy and communications

Our collection and use of mobile information is described in the Sidonia Privacy Policy. Mobile phone numbers, text messaging originator opt-in data, and consent information are not sold or shared with third parties or affiliates for marketing or promotional purposes.

Intellectual property

Sidonia and its licensors retain all rights in the service, software, designs, documentation, and related intellectual property. These terms grant no ownership interest. Subject to applicable agreements, customers retain their rights in the data they provide to Sidonia.

Availability and changes

Sidonia may update, suspend, or discontinue features when reasonably necessary. We work to provide reliable service but do not guarantee that every feature, data feed, or communication will always be uninterrupted, timely, or error-free. Material updates to these terms will be reflected by a revised effective date.

Disclaimers and responsibility

To the extent permitted by law, Sidonia is provided on an "as available" basis without warranties not expressly stated in a signed customer agreement. Sidonia is not a substitute for required navigational, safety, dispatch, employment, or regulatory judgment. Each organization and operator remains responsible for reviewing information and making final operational decisions.

Suspension and termination

Sidonia may restrict access when reasonably necessary to protect the service, users, or third parties; address unlawful or abusive use; or comply with law or an applicable customer agreement. Users may stop using public services at any time. Customer account termination is governed by the applicable customer agreement.
